Critical Infrastructure Technologies Receives Finance Approval for Acquisition of Western Australian Engineering Firm

Critical Infrastructure Technologies Ltd. (CiTech) announced it has received finance approval for the debt component of the acquisition price to acquire 100% of the shares of a Western Australian precision engineering and manufacturing company serving the defence and mining sectors. The acquisition, valued at AUD $5.775 million upon completion with additional deferred payments, is expected to close on or before May 31, 2026.

The target company reported revenue of AUD $7.5 million for FY2025 and an EBITDA of AUD $1.9 million, with projections of AUD $8.6 million in revenue and AUD $2.2 million in EBITDA for FY2026. CiTech noted that revenue and EBITDA are expected to double within the next two to three years. This acquisition provides an immediate earnings base and strengthens CiTech's ability to scale production of its Nexus autonomous communications platforms.

Strategic benefits include establishing sovereign manufacturing capability in Western Australia, vertical integration of fabrication and engineering operations, faster prototyping and production, access to a skilled workforce, and enhanced capability to serve defence, mining, and critical infrastructure customers.
