Edgewater Wireless Systems Inc. (TSXV: YFI) (OTC: KPIFF), a pioneer in AI-powered Wi-Fi Spectrum Slicing silicon solutions, has announced the closing of a private placement that includes a direct strategic investment from Silicon Catalyst Angels I, LLC (SCA). The investment marks the second strategically aligned semiconductor investor to back the company, reinforcing its path toward prototype validation and commercial engagements for its Spectrum Slicing and PrismIQ platforms.
The private placement, which closed in two tranches, raised aggregate gross proceeds of $717,332.70 through the issuance of 11,955,545 units at a price of $0.06 per unit. Each unit consists of one common share and one warrant, exercisable at $0.09 for two years. The second tranche, which included SCA's investment, comprised 4,799,666 units for gross proceeds of $287,979.96. Edgewater Chairman Brian Imrie also participated, investing $96,000, demonstrating insider confidence in the company's direction.
This investment follows Edgewater's selection as a Silicon Catalyst Portfolio Company in November 2024. Since then, the company has gained access to Silicon Catalyst's ecosystem, including over 500 industry experts, millions of dollars in in-kind design and fabrication resources, and the addition of Nick Kepler, Silicon Catalyst's COO, as a Board Observer. SCA, established in 2019 to fund Silicon Catalyst portfolio companies, brings more than just capital; its members are seasoned semiconductor executives and investors who can provide strategic guidance and industry connections.

The funding will support the advancement of Edgewater's PrismIQ platform and its next-generation Spectrum Slicing roadmap, focusing on engineering development, prototype validation, and planned demonstrations for high-reliability Wi-Fi and emerging high-performance applications. The company anticipates an initial product release in the first half of 2027.
Edgewater's Spectrum Slicing technology addresses the challenges of congested Wi-Fi environments by enabling multiple concurrent channels in a single band, delivering up to 10x performance improvements and 50% lower latency, even for legacy devices. With 26 patents granted and three AI-related patents pending, the company is positioned to transform Wi-Fi economics for service providers and enterprises.
The strategic investment from SCA and the continued backing from Chairman Imrie underscore confidence in Edgewater's technology and commercial potential. As the company advances toward key milestones, this alignment of capital and expertise strengthens its ability to execute and bring its innovative solutions to market.
