Energy Fuels to Acquire Australian Strategic Materials in $299M Deal, Creating Largest Fully Integrated Rare Earth Producer Outside China

Energy Fuels Inc. (NYSE American: UUUU) (TSX: EFR) has entered into a Scheme Implementation Deed to acquire 100% of the issued share capital of Australian Strategic Materials Limited (ASX: ASM) in a transaction valued at approximately US$299 million. The acquisition will be completed via a scheme of arrangement under Australian law, marking a significant consolidation in the critical materials sector.

The combination is intended to create what Energy Fuels believes will be the largest fully integrated rare earth elements (REE) mine-to-metal and alloy producer outside of China. By integrating Energy Fuels' REE oxide production at its White Mesa Mill in Utah with ASM's operating Korean Metals Plant and planned American Metals Plant, the transaction is expected to strengthen vertical integration across the REE value chain. This integration expands downstream refining and alloy conversion capacity, enhancing supply chain security for critical magnet materials used in automotive, energy, robotics, and defense applications.

The acquisition underscores the growing strategic importance of rare earth elements, particularly for magnets essential to electric vehicles, wind turbines, and military systems. Currently, China dominates global rare earth processing and magnet production, creating supply chain vulnerabilities for Western nations. Energy Fuels' move to secure downstream processing capabilities aims to reduce reliance on Chinese supply chains.

Energy Fuels is a leading U.S.-based critical materials company focused on uranium, rare earth elements, heavy mineral sands, vanadium, and medical isotopes. The company owns the White Mesa Mill in Utah, the only fully licensed and operating conventional uranium processing facility in the United States. At the mill, Energy Fuels also produces advanced REE products and vanadium oxide while evaluating potential recovery of medical isotopes for cancer treatments.

Australian Strategic Materials brings operational expertise in metals and alloys through its Korean Metals Plant. The planned American Metals Plant will further bolster domestic processing capabilities. The combined entity is positioned to serve growing demand for rare earth magnets from industries seeking secure, non-Chinese sources.
