GeoVax Announces Warrant Inducement Transaction to Raise Approximately $3.6 Million

GeoVax Labs, Inc. (Nasdaq: GOVX), a clinical-stage biotechnology company developing vaccines and immunotherapies, announced today that it has entered into a warrant inducement agreement with an existing institutional investor. Under the agreement, the investor will immediately exercise existing warrants to purchase up to 5,697,628 shares of common stock at an exercise price of $0.64 per share, generating gross cash proceeds of approximately $3,646,482, before deducting financial advisor fees and other transaction expenses. The company intends to use the net proceeds for working capital and general corporate purposes.

In consideration for the immediate exercise of the existing warrants, the investor will receive new unregistered warrants to purchase up to 11,395,256 shares of common stock in a private placement. These new warrants will have an exercise price of $0.64, will become exercisable on the date shareholder approval is obtained for the issuance of the underlying shares, and will expire five years from that date. The closing of the warrant inducement transaction is expected to occur on or about August 27, 2026, subject to customary closing conditions.

The private placement of the new warrants and the underlying shares will be made in reliance on exemptions from registration under Section 4(a)(2) of the Securities Act of 1933 and Regulation D. Consequently, the securities cannot be offered or sold in the United States absent an effective registration statement or an applicable exemption.

This strategic financial move comes as GeoVax advances its lead program, GEO-MVA, a Modified Vaccinia Ankara (MVA)-based vaccine targeting mpox and smallpox. The program is progressing under an expedited regulatory pathway, with plans to initiate a pivotal Phase 3 clinical trial in the second half of 2026. The company aims to address critical global needs for expanded orthopoxvirus vaccine supply and biodefense preparedness. In oncology, GeoVax is developing Gedeptin®, a gene-directed enzyme prodrug therapy designed to enhance immune checkpoint inhibitor activity. Gedeptin has completed a multicenter Phase 1/2 clinical trial in advanced head and neck cancer and is being advanced into combination strategies, including planned neoadjuvant and first-line settings. GeoVax maintains a global intellectual property portfolio and continues to evaluate strategic partnerships and funding opportunities aligned with its development priorities.

The warrant inducement transaction provides immediate capital infusion, which is crucial for a clinical-stage biotech company with ongoing research and development expenditures. The proceeds will support working capital needs and general corporate purposes, potentially funding operations as GeoVax prepares for its pivotal Phase 3 trial and advances its oncology pipeline. This financing also aligns with the company's strategy to secure funding through warrant exercises, which can be less dilutive than traditional equity offerings if the stock price appreciates. However, the issuance of new warrants could lead to future dilution if exercised.

Investors should note that the new warrants will not be exercisable until shareholder approval is obtained, which introduces uncertainty regarding the timing of potential additional capital. The company's ability to secure this approval will be a key factor to watch. The transaction also signals confidence from the existing institutional investor, which may be a positive indicator of the company's prospects.

GeoVax's focus on mpox and smallpox vaccines is particularly relevant given the global health concerns and the need for biodefense preparedness. The company's progress in this area, along with its oncology pipeline, positions it for potential growth if clinical trials succeed. The additional capital from this warrant inducement could help bridge the company to these milestones.
