Greenland Mines Ltd. (NASDAQ: GRML) has closed a strategic share exchange with AnorTech Inc. (TSX-V: ANOR; OTCQB: ANORF), a deal that gives Greenland Mines its first foothold in midstream critical materials processing while providing AnorTech access to a NASDAQ-listed partner with growing capital markets presence and a portfolio of world-class Greenland assets.

The transaction, announced on June 16 and formally closed by the end of the month, is structured as a share exchange rather than a cash acquisition. Greenland Mines issued 12,400,000 of its common shares to AnorTech, valued at approximately $3.5 million at closing. In return, Greenland received an unspecified interest in AnorTech's proprietary processes for extracting high-value materials from anorthosite, a rock type abundant in Greenland and on the moon.

Anorthosite is a rock composed largely of plagioclase feldspar and is known to contain rare earth elements and other critical materials. AnorTech has been developing methods to extract these materials, positioning the company as a potential supplier for advanced manufacturing, electronics, and clean energy technologies. The share exchange moves Greenland Mines closer to the midstream segment of the critical materials value chain, where processing and refining add significant value before materials reach end users.

“This partnership aligns with our strategy to become a vertically integrated supplier of critical minerals,” said a Greenland Mines spokesperson in the announcement. “AnorTech’s proprietary technology complements our upstream assets and allows us to participate in the higher-margin processing stage.”

For AnorTech, the deal provides a capital injection in the form of publicly traded shares and a strategic alliance with a company that holds mineral rights in Greenland. Greenland Mines’ portfolio includes the Kvanefjeld rare earth project and other properties that could supply feedstock for AnorTech’s processing technology.

The transaction highlights the growing importance of midstream processing in the critical minerals sector, particularly as countries seek to diversify supply chains away from dominant producers like China. The United States and European Union have both identified rare earths and other critical materials as essential for economic and national security, leading to increased investment in domestic and allied processing capacity.

Greenland, an autonomous territory of Denmark, has become a focal point for critical mineral exploration due to its geology and strategic location. However, the country has also faced political challenges, including a ban on uranium mining that affects some rare earth projects. The share exchange does not directly address those issues but underscores the potential for innovative extraction technologies to bypass some regulatory hurdles.
