JOST Werke SE, a global leader in safety- and mission-critical systems for commercial vehicles, has signed a business transfer agreement to sell its Indian tipper body operations to Belrise Industries Limited. The divestment, announced on August 5, 2026, follows JOST's acquisition of Hyva in February 2025 and is part of a strategic effort to refine Hyva's portfolio, concentrating on tipping cylinders, hydraulic components, and digital tipping systems. By divesting the tipper body business, JOST aims to lower its vertical integration and enhance operational flexibility in the Indian market.
The Indian tipper body business generates annual revenue of EUR 30 to EUR 40 million and an EBITDA of approximately EUR 1 million. The agreed purchase price is about EUR 5 million. Completion is anticipated in the fourth quarter of 2026, subject to customary regulatory approvals and conditions. JOST confirmed that this transaction will not have a material impact on its revenue and earnings outlook for the fiscal year 2026, reiterating its existing guidance.
Joachim Dürr, CEO of JOST Werke SE, stated: "This divestment is a further step in aligning our portfolio with our long-term strategy for profitable growth. It allows us to focus even more strongly on the core hydraulic and tipping solutions offered under the Hyva brand and to direct our R&D capabilities toward mission-critical systems."
Belrise Industries, a leading manufacturer of automotive components, sees the acquisition as a strategic fit. Mr. Shrikant Badve, Managing Director of Belrise Industries, commented: "We are pleased to welcome Hyva’s India Tipper Body Business into the Belrise family. The business has established a strong reputation in the Indian commercial vehicle market and represents a compelling strategic fit for Belrise, complementing our manufacturing and engineering capabilities. We are committed to investing in its future growth while ensuring seamless continuity for customers, employees, suppliers, and business partners throughout the transition, in collaboration with JOST."
The divestment underscores JOST's commitment to focusing on its core competencies. Since acquiring Hyva, JOST has been integrating the brand's offerings, which include front-end tipping cylinders and hydraulic systems. This move allows JOST to streamline operations and allocate resources more efficiently toward innovation in mission-critical components. For Belrise, the acquisition expands its presence in the commercial vehicle sector, leveraging Hyva's established reputation and customer base in India.
The transaction is expected to close in the fourth quarter of 2026, pending regulatory approvals. JOST's outlook for fiscal year 2026 remains unchanged, reflecting the company's confidence in its strategic direction. The deal represents a significant step for both companies as they refine their business portfolios to better serve the evolving needs of the commercial vehicle industry.
