MAX Power Mining Closes $10 Million Private Placement with Eric Sprott to Advance Natural Hydrogen Project

MAX Power Mining Corp. (CSE: MAXX; OTC: MAXXF; FRANKFURT: 89N) has closed a strategic non-brokered private placement with prominent investor Eric Sprott, raising gross proceeds of $10 million. The placement consisted of 4 million units priced at $2.50 each, with each unit comprising one common share and one-half warrant. The company intends to use the net proceeds to advance its commercial validation drill program at the Lawson Complex in Saskatchewan and for general corporate purposes.

This investment marks a significant endorsement of MAX Power's pioneering work in Natural Hydrogen exploration. The company's Lawson Discovery, located near Central Butte, Saskatchewan, represents Canada's first-ever subsurface Natural Hydrogen system confirmed through deep drilling, with data validated by three independent labs. This validation is critical as the world seeks clean energy alternatives to combat climate change.

Following the placement, Eric Sprott indirectly owns and controls approximately 19.5% of MAX Power's common shares on a non-diluted basis, or 30.5% on a partially diluted basis assuming exercise of his warrants. A special shareholder meeting is scheduled for Aug. 20, 2026, to consider approving Sprott as a control person of the company, a regulatory requirement due to the size of his stake.

The funding arrives at a pivotal time for the Natural Hydrogen sector, which has garnered increasing attention as a potential zero-carbon energy source. MAX Power has built a dominant district-scale land position across Saskatchewan, with approximately 1.3 million acres (521,000 hectares) of permits covering prime exploration ground prospective for large-volume accumulations of Natural Hydrogen. This extensive land package positions the company as a leader in the race to commercialize this emerging resource.

Beyond its Natural Hydrogen assets, MAX Power holds a portfolio of properties in the United States and Canada focused on critical minerals, highlighted by a 2024 diamond drilling discovery at the Willcox Playa Lithium Project in southeast Arizona, 100%-owned by MAX Power's U.S. subsidiary. This diversification provides additional upside as demand for lithium and other critical minerals surges with the global transition to electric vehicles and renewable energy storage.

The participation of Eric Sprott, a well-known mining financier, signals strong confidence in MAX Power's strategy and the potential of Natural Hydrogen. Sprott's investment not only provides capital but also brings credibility and visibility to the company. Analysts view this as a positive indicator for the sector, potentially attracting further institutional interest.

MAX Power is committed to responsible exploration and development practices that prioritize environmental stewardship, meaningful community engagement, and strong corporate governance. The company's focus on decarbonization aligns with global sustainability goals, and the successful closure of this placement enables it to continue advancing its projects with financial stability.

As the world seeks to reduce greenhouse gas emissions, Natural Hydrogen offers a promising solution. Unlike traditional hydrogen production methods that require energy-intensive processes, Natural Hydrogen is naturally occurring and can be extracted with minimal environmental impact. MAX Power's pioneering work in this field could position Canada as a leader in this nascent industry.

With the funds secured, MAX Power is well-positioned to execute its validation drill program at the Lawson Complex, which aims to prove the commercial viability of the Natural Hydrogen reservoir. Success in this program could unlock significant value for shareholders and contribute to the broader energy transition.

Investors and industry observers will be watching closely as MAX Power advances its projects in the coming months. The company's progress will not only impact its own prospects but also shape the future of Natural Hydrogen exploration globally.
