MAX Power Mining Divests Arizona Lithium Asset to Sharpen Natural Hydrogen Focus

MAX Power Mining Corp. (CSE: MAXX; OTC: MAXXF; FRANKFURT: 89N) has announced an agreement to sell its wholly owned subsidiary, MAX Power Resources LLC, which holds the Willcox Playa Lithium Project in Arizona, to Homeland Critical Minerals Corp. The transaction, valued at approximately $1.1 million through the issuance of 11 million Homeland shares, aligns with MAX Power's strategic shift to concentrate resources on advancing its Natural Hydrogen initiatives while retaining significant exposure to the lithium project's future development.

The divestiture allows MAX Power to focus capital, technical expertise, and execution on its core Natural Hydrogen assets, particularly the Lawson Natural Hydrogen Complex and the broader Genesis Trend in Saskatchewan. The company will hold an equity stake representing just under 50% of Homeland's currently outstanding shares, preserving potential upside from lithium and other critical mineral opportunities pursued by Homeland. The transaction is expected to close on or about June 17, 2026, subject to customary conditions and regulatory approvals, including any required approval from the Canadian Securities Exchange.

MAX Power is an innovative mineral and energy exploration company focused on the shift to decarbonization. The Lawson Discovery near Central Butte, Saskatchewan, represents Canada's first-ever subsurface Natural Hydrogen system confirmed through deep drilling with data validated by three independent labs. The company has built dominant district-scale land positions across Saskatchewan with approximately 1.3 million acres (521,000 hectares) of permits covering prime exploration ground prospective for large-volume accumulations of Natural Hydrogen. MAX Power also holds a portfolio of properties in the United States and Canada focused on critical minerals, highlighted by a 2024 diamond drilling discovery at the Willcox Playa Lithium Project.

This strategic move underscores the growing importance of natural hydrogen as a potential clean energy source. By divesting a non-core lithium asset, MAX Power can streamline its operations and allocate resources more efficiently toward what it considers a higher-priority opportunity. The company's commitment to responsible exploration and development practices that prioritize environmental stewardship, meaningful community engagement, and strong corporate governance remains unchanged.
