MAX Power Mining Reports Shareholder Approval of All Resolutions and Board Appointment

MAX Power Mining Corp. (CSE: MAXX; OTC: MAXXF; FRANKFURT: 89N) announced that shareholders approved all resolutions at its Annual General and Special Meeting held April 17, 2026. The meeting saw 31,363,104 common shares voted, representing approximately 24.8% of outstanding shares, supporting the reappointment of D&H Group LLP as auditors, setting the board at six directors, electing six nominees, and approving the company’s shareholder rights plan.

The company also announced the appointment of Tony Van Burgsteden to the board of directors. In conjunction with his appointment, MAX Power granted 200,000 stock options and 200,000 restricted share units (RSUs) to Van Burgsteden under its existing equity incentive plan, aligning his interests with those of shareholders.

This shareholder approval and board appointment come as MAX Power advances its exploration activities, particularly in the Natural Hydrogen space. The company’s Lawson Discovery near Central Butte, Saskatchewan, represents Canada’s first-ever subsurface Natural Hydrogen system confirmed through deep drilling, with data validated by three independent labs. MAX Power has built dominant district-scale land positions across Saskatchewan, holding approximately 1.3 million acres (521,000 hectares) of permits, with an additional 5.7 million acres under application, covering prime exploration ground prospective for large-volume accumulations of Natural Hydrogen.

In addition to its Natural Hydrogen focus, MAX Power holds a portfolio of properties in the United States and Canada focused on critical minerals. These are highlighted by a 2024 diamond drilling discovery at the Willcox Playa Lithium Project in southeast Arizona, which is 100%-owned by MAX Power’s U.S. subsidiary. The company is committed to responsible exploration and development practices that prioritize environmental stewardship, meaningful community engagement, and strong corporate governance.

The approval of the shareholder rights plan reflects the board’s commitment to protecting shareholder value and ensuring that all shareholders are treated fairly in any potential takeover bid. The reappointment of D&H Group LLP as auditors ensures continuity in financial oversight.
