Metavesco, Inc. (OTC: MVCO), a diversified holding company and developer of the OTCfi ecosystem, announced today that its Regulation A offering is approximately 99% subscribed. The offering, qualified in July at $0.0008 per share—the company's closing market price on the qualification date—has seen the stock trade at roughly double that price, an uncommon outcome for an OTC-listed issuer that did not offer shares at a discount.
According to the company, recent weeks brought subscription interest from both existing and new shareholders, including larger retail investors. CEO Ryan Schadel highlighted the difficulty of raising capital on the OTC without discounting shares, noting that most OTC offerings require significant discounts or fail to complete. "That reality has existed for a long time," Schadel said in the release.
The company views the successful offering as a validation of its approach to shareholder communication and engagement. Schadel emphasized that OTC issuers operate under similar regulatory obligations as listed companies but lack the infrastructure to engage investors consistently, which impacts liquidity and cost of capital. The company believes the completed offering positions it with increased financial flexibility to invest in product development, infrastructure, and strategic opportunities.
Metavesco also framed this experience as a case study supporting its OTCfi ACCESS platform, designed to provide OTC issuers with tools for effective shareholder communication and long-term base building. "MVCO is the case study that proves out the premier platform of the OTCfi ecosystem," Schadel said, though he cautioned that market outcomes are not guaranteed.
The company's OTC Markets filings contain additional information about potential risks. The update was initially discussed during a live X Spaces event, which can be replayed here.
