Newron Shareholders Approve Board Elections at AGM 2026, Extraordinary Motions Fail Due to Quorum

Newron Pharmaceuticals S.p.A. (SIX: NWRN, XETRA: NP5) announced that its shareholders approved all motions on the agenda for the ordinary part of the Annual General Meeting (AGM) 2026 held today. The approved motions included the election of George Garibaldi and Paolo Zocchi as new, independent, and non-executive Board members. However, the motions on the agenda for the extraordinary part of the meeting were not put to vote, as the required quorum was not reached.

Chris Martin, Chairman of the Board of Directors of Newron, expressed gratitude to shareholders for their trust and welcomed the newly elected board members, looking forward to their valuable contributions. He also thanked Patrick Langlois and Luca Benatti, who stepped down from the Board after their long-standing service, for their support of the company.

The outcome of the AGM is significant as it reflects shareholder confidence in Newron's strategic direction and governance. The election of independent directors Garibaldi and Zocchi is expected to bring fresh perspectives to the board, particularly as Newron advances its lead compound, evenamide, through pivotal Phase III development for treatment-resistant schizophrenia (TRS). The failure of extraordinary motions due to quorum issues may indicate the need for greater shareholder engagement on key strategic decisions.

Newron is a biopharmaceutical company focused on developing innovative therapies for central and peripheral nervous system diseases. Its lead candidate, evenamide, is a first-in-class glutamate modulator with potential as an add-on therapy for TRS and poorly responding schizophrenia patients. The global pivotal ENIGMA-TRS Phase III program is ongoing, with clinical data showing significant improvements in efficacy measures and a favorable safety profile. Newron has established partnerships for evenamide with EA Pharma for Japan and other Asian territories, and Myung In Pharm for South Korea.

The company's first marketed product, Xadago®/safinamide, is approved for Parkinson's disease in multiple regions, including the EU, Switzerland, the UK, the USA, Australia, Canada, Latin America, Israel, the UAE, Japan, and South Korea. It is commercialized by partners Zambon, Supernus Pharmaceuticals, and Meiji Seika in various territories.

The AGM results underscore Newron's commitment to strong corporate governance as it continues to progress its pipeline. The new board members are expected to support the company in navigating upcoming milestones, including potential regulatory submissions for evenamide.
