US Nuclear Corp (OTC: UCLE) has reported a 72% reduction in loss from operations for the first quarter of 2026 compared to the same period last year, according to its recently filed quarterly report. The company filed its 10Q for the first quarter of 2026, as detailed in the US Nuclear Form 10Q_March 31, 2026, and expects to file the second quarter within the next three to four weeks. Trading of the company’s stock will resume after the release of the third quarter, projected for the first week of December.
The improvement in operating loss, which narrowed by over $375,000, reflects management’s efforts to streamline operations and reduce costs. “We have been working very hard to correct the issues which delayed the release of the 2025 10K until June, impacting the timely release of the second and third-quarter filings,” said Michael Hastings, CFO of US Nuclear. “We lost some key people once we closed the LA operation, which made retrieving certain financial data from the closed operation more difficult, and we also chose to replace some people at Overhoff, but things are finally falling into place.” The company’s 2025 audit process took longer than expected, causing subsequent quarterly filings to exceed their deadlines. The first quarter financial close and review process took about four months, far exceeding the 45-day window from the close of the period. The company is actively working with its internal team and independent auditors to finalize the second quarter filing as quickly as possible.
To strengthen its financial reporting, US Nuclear is interviewing outsourced CPA firms to ensure the highest standards of accuracy and timely reporting. Management expects the selection process to conclude shortly, with onboarding and transition scheduled to occur imminently. The company also engaged a skilled General Manager/COO in June, who is making major strides in streamlining logistics, clearing backlogs, and accelerating product and service delivery, thereby improving the working capital cycle. Backlog has grown to $1.2 million and is expected to finish the year at $2.9 million.
Additionally, the GM is utilizing four college interns to perform a full marketing and product analysis of the TA/Optron product line, which had been built in Los Angeles, for the purpose of re-launching the products in January 2027, with the hope of adding $600,000 in revenues in 2027. The company has also started discussions with other companies this summer for potential joint ventures, the purchase of the company by a larger company, or a synergistic company interested in a reverse-merger as a way of going public. These strategic alternatives could significantly accelerate growth and provide liquidity for shareholders.
“We expect 2027 sales and profits to increase 20-30%, and sales to double the current level in 2028, or significantly higher if we complete a transaction in 2027,” the company stated. This news matters because it signals a potential turnaround for US Nuclear, with a sharply reduced operating loss and a clear plan to return to timely reporting. The planned relaunch of the TA/Optron product line and the exploration of strategic transactions could unlock significant value, but the company still faces risks related to delayed filings, management changes, and the successful execution of its growth initiatives. Investors will be watching for the second and third quarter filings to confirm whether the operational improvements are sustainable.
